General Terms and Conditions of antibodies-online GmbH for this platform

antibodies-online provides a platform that enables antibody vendors to offer and sell their products to customers. antibodies-online displays on its websites – among others antibodies-online.com and antikoerper-online.de – the products offered and other information received from the different vendors. In addition antibodies-online supports the searching and buying process for the end customer. In addition antibodies-online offers products for sale under its own name.

These General Terms and Conditions apply to every person, which enters the platform as a customer or potential customer.

1. Registration
   
Only natural persons of full age and legal persons may register as customers. The details given at registration have to be complete and correct.


2. Platform
   
   
1. The platform provides the vendor with a system for presenting product related and other information. The customer’s order requests are forwarded to the vendor via this platform.
2. antibodies-online reserves the right to develop and change the design and functionality of the platform at its own discretion. antibodies-online may regularly publish updated versions of the platform.
3. antibodies-online will provide the customer with a login for using the platform. The login will be assigned during registration. antibodies-online will undertake appropriate measures for assuring the security of the platform.
4. The rights and obligations of antibodies-online are limited to the services described in these terms and conditions. antibodies-online shall not become the vendor’s agent or representative.
   
   
3. antibodies-online Services
   
   
1. In general antibodies-online procures products from the vendor upon receipt of order from the customer. The characteristics of the products are defined on the platform by the information provided by the vendor.
2. antibodies-online may also enable end customers to place order requests with reference to the General Terms and Conditions of the vendor. Order requests for the products of the vendor can be submitted to antibodies-online on the platform as well as by fax. antibodies-online informs the vendor by email regarding the details of the order requests. The vendor sends order confirmations and any other comments via email to antibodies-online. antibodies-online forwards this information to the end customer. All other order processing, in particular shipment, invoice issuing and handling of payments, is carried out directly by the vendor.
3. Any support requests from the end customer regarding among others the product, delivery status and product availability that are received by antibodies-online will be forwarded to the vendor for answering.
4. antibodies-online also offers registered end customers the possibility of posting evaluations of antibodies on the platform. antibodies-online informs the vendor about new evaluations of its products by email without disclosing the customer’s identity.
   
   
4. Rights
   
   
1. The customer does not acquire any rights to use the trade marks, trade names or other commercial or intellectual property rights of antibodies-online or of the vendors. 
2. Any trade marks, trade names or other commercial or intellectual property of third parties displayed on the platform remain the property of the respective owner. The right of access to the platform does not allow the customer to replicate or use any of these rights.
   
   
5. Remuneration
   

The services of antibodies-online according to these General Terms and Conditions are free of charge for the customer.



6. Warranty, Liability
   
   
1. antibodies-online does not assume any warranty for uninterrupted and failure-free operations of the platform. This applies especially to viruses, Trojans and other curtailing of the software. antibodies-online shall promptly correct reported interferences or bugs upon notification by the customer.
2. antibodies-online does not assume any warranty for the appropriateness of the platform and associated services of antibodies-online for specific purposes. In addition antibodies-online does not assume warranty for the textual correctness of the information provided by the vendor or the end customer.
3. antibodies-online is liable to the customer only to the extent outlined in these General Terms and Conditions. Any other liability is excluded unless antibodies-online acts in wilful misconduct or gross negligence.
   
   
7. Privacy
   
   
   antibodies-online will treat customer data obtained during the use of the platform confidentially and according to legal requirements. With regards to brokering and processing orders antibodies-online provides the vendor only with the billing and shipping address as well as payment information. For the rest this privacy policy applies.
   


8. Term
   
   
   This contract is for an indefinite term. It can be terminated by both parties at any time with immediate effect.
   
   
9.  Miscellaneous

1. antibodies-online reserves the right to change these General Terms and Conditions at any time. If a change occurs a notification shall be displayed on the websites. By continuing to use the platform the customer documents agreement to the changes.  
2. The law of the Federal Republic of Germany applies. Court of jurisdiction is Aachen, Germany. 
3. If any provision of this Agreement is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed to be severed from the rest of this Agreement and shall not affect the validity and enforceability of any remaining provisions.
4. antibodies-online reserves the right to transfer this agreement to any other legal entity for the continuation of the business and the platform operations. Regarding this antibodies-online shall post a notification on the websites. The customer herewith agrees to the transfer of this agreement.
